Terms of Service

These Terms of Service (the “Terms”) are an agreement between Dualzo (“we”, “us”) and the individual or organisation using Dualzo (“you”). By creating an account, connecting a repository, or using any part of the Service, you accept these Terms. If you are accepting on behalf of a company, you confirm you have authority to bind it.
1. The Service
Dualzo is a governance layer around AI-assisted software changes. It reads a connected GitHub repository, produces an execution plan from an issue or a prompt, requires a human to approve that plan, runs the approved work through an AI coding provider, validates the result in a sandbox using your repository’s own commands, and opens a pull request. Every step is recorded in an append-only audit log.
Dualzo does not merge code. A human on your side always decides whether a pull request is merged.
2. Accounts and workspaces
- You must be at least 18 years old and provide accurate registration details.
- Each account gets a personal workspace. A workspace has admins and members; admins control billing, membership, and repository connections.
- You are responsible for everything done under your credentials, and for keeping them secure. Tell us promptly at support@dualzo.app if you suspect unauthorised access.
- The Team plan includes 5 seats. Adding members beyond the included seats may require a plan change.
3. Your repositories and content
Your source code, issues, prompts, and any other material you make available to the Service (“Your Content”) remain yours. You grant us a limited, non-exclusive licence to host, copy, index, transmit, and process Your Content solely to operate the Service for you — for example, cloning a repository to build a plan, or passing a slice of it to your chosen model provider.
You confirm you have the rights needed to connect each repository and to let Dualzo act on it through the GitHub App you install. Access is limited to the repositories you select at installation, and you may revoke it at any time from GitHub.
We do not use Your Content to train our own models.
4. AI-generated code
Code produced through the Service is generated by an AI model. It may be incorrect, insecure, non-performant, or unsuitable for your purpose, even when validation passes. Validation runs your repository’s own commands and proves only what those commands prove.
You are responsible for reviewing every pull request before merging it. Approval inside Dualzo authorises the work to run; it is not a substitute for code review. Where a repository is confirmed with “reduced validation” (no test command), that fact is shown on every pull request produced from it.
5. Acceptable use
You agree not to:
- use the Service to build or distribute malware, credential harvesters, or tooling whose primary purpose is unauthorised access to systems you do not control;
- connect repositories you are not authorised to modify;
- attempt to escape the validation sandbox, reach other customers’ data, or interfere with the Service’s operation;
- resell, sublicense, or provide the Service to third parties as your own product;
- use the Service in violation of applicable law, export controls, or the terms of GitHub or your model provider.
6. Third-party services and model providers
The Service depends on third parties: GitHub for repository access, Paddle for payments, and an AI coding provider (Claude, Codex, or Gemini) that you choose and that runs on credentials you supply. Your use of those services is governed by their own terms. We are not responsible for their acts, outages, pricing, or model behaviour, and any model usage charges they bill you are yours to pay.
7. Plans, billing, and free credits
- Team plan: $119 per month, 5 seats included.
- Free credits: from time to time we run a signup promotion granting a limited number of free credits to workspaces created during the promotion window; outside of an active promotion, no free credits are granted. When a workspace has none and no active subscription, it loses access to the app until a subscription starts. Your data is not deleted at that moment.
- Payments are processed by Paddle, which acts as merchant of record and handles applicable taxes. We never see or store your full card details.
- Renewal is automatic each month until cancelled. Prices are exclusive of taxes unless stated otherwise at checkout.
- Cancellation takes effect at the end of the paid period; you keep access until then, and you can resume before it lapses.
- Model provider usage is billed to you directly by that provider and is never included in the plan price.
8. Refunds
Because a subscription is only required once any free credits from an active signup promotion are used up, monthly fees are generally non-refundable once a period has begun. We will nonetheless refund, in whole or in part, where the Service was materially unavailable for an extended period, where a charge was duplicated or made in error, or where local consumer law requires it. Write to support@dualzo.app within 30 days of the charge with the invoice number. Approved refunds are issued through Paddle to the original payment method and typically settle within 5–10 business days.
9. Suspension and termination
You may stop using the Service at any time by cancelling your subscription and disconnecting your repositories.
We may suspend or block an account, immediately and without notice, where we reasonably believe it is being used in breach of section 5, where payment has failed or been reversed, or where continued access poses a security or legal risk. A blocked account keeps its data and its audit history; access is restored if the reason is resolved. We will tell you the reason for a block unless doing so would itself create a legal or security problem. Where the breach is not serious, we will aim to give you notice and a chance to fix it first.
On termination, we retain your data for 30 days so you can export or reactivate, after which it is deleted on the schedule in our Privacy Policy.
10. Availability and support
We aim for high availability but do not commit to a service level in these Terms. Maintenance, third-party outages, and model provider incidents can interrupt the Service. Support is provided by email at support@dualzo.app during business days.
11. Intellectual property
The Service, including its software, design, and documentation, is owned by Dualzo and licensed to you, not sold. You keep all rights in Your Content and in the code produced for your repositories. Feedback you send us may be used freely to improve the Service without obligation to you.
12. Confidentiality
We treat Your Content and your provider credentials as confidential. Credentials are stored encrypted, are never written to logs, and are used only to execute work you have authorised. Access by our staff is limited to what is needed to operate and support the Service.
13. Warranties and disclaimers
The Service is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that plans, generated code, validation results, or confidence scores will be accurate, complete, or suitable for your purpose. Nothing here excludes rights you have under mandatory consumer law.
14. Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, or consequential damages, or for lost profits, revenue, or data. Our total aggregate liability arising out of or relating to these Terms is limited to the amounts you paid us for the Service in the 12 months before the event giving rise to the claim. These limits do not apply to fraud, wilful misconduct, or liability that cannot be limited by law.
15. Indemnity
You will defend and indemnify us against third-party claims arising from Your Content, from your use of the Service in breach of these Terms, or from your decision to merge and deploy code produced through the Service.
16. Changes to the Service or these Terms
We may change the Service and these Terms. For material changes we will give at least 30 days’ notice by email or in the app before they take effect. If you do not agree, cancel before the effective date; continued use after it means you accept the revised Terms. Price changes never apply to a period you have already paid for.
17. Governing law
These Terms are governed by the laws of India, without regard to conflict of law rules, and the parties submit to the exclusive jurisdiction of the courts of India. If any provision is unenforceable, the rest remains in effect.
